Terms of Service

These Terms of Service ("Terms") govern your access to and use of Naxern, operated by Kyro Marketing (ABN registered, VIC, Australia) ("we", "us", "our"). By creating an account or using Naxern, you agree to these Terms in full. If you do not agree, do not use the platform.

1. Eligibility

You must be at least 18 years old and have full legal capacity to enter into a binding contract to use Naxern. If you are accessing Naxern on behalf of a business, you represent that you have authority to bind that business to these Terms. We reserve the right to terminate accounts that we reasonably believe are operated by ineligible persons.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at Naxern@outlook.com if you suspect unauthorised access. We are not liable for losses arising from unauthorised use of your account.

3. Subscription Plans & Pricing

Naxern offers the following subscription plans, billed in Australian Dollars (AUD):

All prices are in AUD and inclusive of GST where applicable. Prices are subject to change with 30 days' notice to active subscribers. Annual plans are billed as a single upfront payment.

4. Credits

AI Credits ("Credits") are consumed when you use Naxern features such as generating ad creatives, running AI chat, performing lead searches, or running campaign optimisations. Credits reset every 30 days on your billing cycle date. Unused credits do not roll over to the following month. Credits are non-transferable, have no cash value, and cannot be sold or exchanged. We reserve the right to adjust credit consumption rates for individual features with reasonable notice.

5. Payment & Billing

Payments are processed securely by Stripe. By providing payment details, you authorise us to charge the applicable subscription fee. All transactions are encrypted and we do not store your card details. Subscriptions renew automatically unless cancelled before the renewal date. You will receive a receipt by email for each payment. In the event of a failed payment, we will attempt to retry and may suspend your account until payment is resolved.

6. Refund Policy

We offer a 30-day money-back guarantee on all new subscriptions. If you are unsatisfied with Naxern for any reason within the first 30 days of your initial purchase, contact us at Naxern@outlook.com and we will issue a full refund. After 30 days, all payments are non-refundable. Refunds are not available on renewal payments, annual plan renewals, or accounts found to be in violation of these Terms. Refunds are processed within 5—10 business days to your original payment method. We reserve the right to decline refund requests where we reasonably believe the service has been abused.

7. Cancellation

You may cancel your subscription at any time by contacting Naxern@outlook.com. Cancellation takes effect at the end of your current billing period. You will retain access to your plan features until that date. We do not offer prorated refunds for mid-cycle cancellations outside of the 30-day guarantee window.

8. Meta Platform Compliance

Naxern integrates with Meta's advertising platform. You agree to comply with Meta's Terms of Service, Advertising Policies, Community Standards, and all applicable laws when using Naxern to create or manage ads. Naxern is not responsible for ad rejections, account restrictions, bans, or penalties imposed by Meta. You are solely responsible for the content, targeting, and compliance of your advertisements. We strongly recommend reviewing Meta's Advertising Policies before running campaigns.

You may not use Naxern to:

10. Intellectual Property

All Naxern platform code, design, AI models, and branding are owned by or licensed to Kyro Marketing. You retain ownership of all business content you provide (business name, logo, offer details). Ad creatives and copy generated by Naxern using your inputs are licensed to you for your own commercial use. You grant Kyro Marketing a limited, non-exclusive licence to process your inputs for the sole purpose of providing the service. We do not claim ownership of your generated content and will not use it to train AI models without your consent.

11. AI-Generated Content Disclaimer

Naxern uses artificial intelligence to generate ad copy, creative layouts, and campaign suggestions. AI-generated content is provided as a starting point and may contain errors, inaccuracies, or content that requires human review before use. You are solely responsible for reviewing, editing, and approving all content before publishing. We make no warranty that AI-generated content will comply with platform policies, achieve campaign objectives, or be suitable for your specific audience.

12. Third-Party Services

Naxern integrates with third-party services including Meta (Facebook/Instagram), Stripe (payments), Pexels (stock images), and Groq (AI inference). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services. Loss of access to third-party services (e.g. Meta account bans) does not entitle you to a refund.

13. Disclaimer of Warranties

Naxern is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. We do not guarantee specific advertising results, lead volumes, or return on ad spend.

14. No Guarantee of Returns

Kyro Marketing makes no guarantees, representations, or warranties regarding any financial return, profit, revenue, leads, sales, or other business results from your use of Naxern. Advertising performance depends on many factors beyond our control, including market conditions, audience targeting, creative quality, and platform algorithms. The use of Naxern, AI-generated content, or campaign optimisations does not guarantee any specific outcome. You are solely responsible for evaluating whether Naxern is suitable for your business and for monitoring your advertising spend and results. Past performance or success stories do not indicate future results. By using Naxern, you acknowledge and accept that your advertising campaigns may not generate any leads, sales, or return on investment, and Kyro Marketing shall not be held liable for any losses or lack of revenue resulting from your use of the platform.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Kyro Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, loss of goodwill, or ad spend losses, arising from your use of or inability to use Naxern. Our total aggregate liability to you for any claim arising from these Terms or your use of the platform shall not exceed the total amount you paid to us in the 3 months preceding the claim. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence, or any liability that cannot be excluded under Australian Consumer Law.

16. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the services remedied if they fail to be of acceptable quality.

17. Termination

We may suspend or terminate your account immediately and without notice if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your right to use Naxern ceases immediately. We will retain your data for 30 days post-termination, after which it will be deleted. You may also terminate your account at any time by emailing Naxern@outlook.com.

18. Changes to Terms

We may update these Terms at any time. We will notify active subscribers of material changes via email at least 14 days before they take effect. Continued use of Naxern after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription before the effective date.

19. Governing Law & Disputes

These Terms are governed by the laws of VIC, Australia. Any dispute arising from these Terms or your use of Naxern shall first be attempted to be resolved through good-faith negotiation by contacting us at Naxern@outlook.com. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of VIC, Australia.
